Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the P1·QA platform, website, and services (collectively, the “Service”) operated by P1·QA LLC (“Company,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Service Description
P1·QA provides AI-powered quality assurance testing services, including but not limited to:
- Automated end-to-end (E2E) browser testing
- API schema validation and endpoint testing
- Visual regression detection
- Performance and load testing
- Accessibility (WCAG 2.1) compliance scanning
- Automated bug reporting and ticket filing
- CI/CD pipeline integration
Services are delivered through autonomous AI agents that integrate into your development workflow and execute against your staging or production environments as configured.
2. Account Registration
2.1. You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
2.2. You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.
2.3. You agree to notify us immediately of any unauthorized use of your account.
3. Subscription & Payment Terms
3.1. Billing. Subscriptions are billed monthly in advance. All fees are stated in U.S. dollars and are non-refundable except as specified below.
3.2. Free Trial & Refunds. New customers may receive a free QA audit. Paid subscriptions include a 14-day money-back guarantee from the date of initial purchase. After 14 days, no refunds will be issued for the current billing period.
3.3. Price Changes. We reserve the right to modify pricing with at least 30 days' written notice. Continued use after a price change constitutes acceptance of the new pricing.
3.4. Cancellation. You may cancel your subscription at any time. Service continues until the end of the current billing period. No pro-rated refunds are provided for partial months.
4. Acceptable Use
You agree that you will:
- Only use the Service to test applications you own or are authorized to test
- Comply with all applicable local, state, national, and international laws
- Provide accurate environment credentials and configuration
You agree that you will not:
- Use the Service for unauthorized penetration testing or security exploitation
- Conduct denial-of-service attacks or intentionally disruptive load tests against third-party systems
- Attempt to reverse-engineer, decompile, or extract our AI agent source code or models
- Resell, sublicense, or redistribute the Service without written consent
- Use the Service to violate the privacy or rights of any third party
We reserve the right to suspend or terminate accounts that violate these terms without prior notice.
5. Intellectual Property
5.1. Our IP. The P1·QA platform, including all AI agents, algorithms, workflows, documentation, and branding, are the exclusive property of P1·QA LLC and are protected by copyright, trademark, and trade secret laws.
5.2. Your IP. You retain all rights to your source code, applications, and proprietary data. We claim no ownership over your codebase, test data, or application content.
5.3. Generated Test Artifacts. Test cases, bug reports, and test results generated by our agents are owned by you. We retain a non-exclusive license to use anonymized, aggregated patterns for improving our AI models.
6. Data Ownership & Handling
6.1. Your source code is never copied or stored. Our agents interact with your application through standard browser protocols (HTTP/HTTPS) and API calls, the same way a human tester would.
6.2. Test results, screenshots, logs, and bug reports are stored securely and are accessible only to your team. Data is retained for the duration of your subscription plus 30 days, after which it is permanently deleted.

7. Confidentiality
Both parties agree to treat as confidential any proprietary information disclosed during the engagement, including but not limited to application architecture, security configurations, API keys, and test results. Confidentiality obligations survive termination for a period of two (2) years.
8. Service Level & Availability
8.1. We target 99.5% uptime for our testing infrastructure, measured monthly, excluding scheduled maintenance.
8.2. Scheduled maintenance windows are communicated at least 48 hours in advance via email and status page.
8.3. Enterprise tier customers may negotiate a custom Service Level Agreement (SLA) with defined remedies for downtime exceeding agreed thresholds.
9. Limitation of Liability
9.1. THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2. We do not guarantee that our agents will detect all bugs, security vulnerabilities, or performance issues. AI-powered testing augments but does not replace comprehensive QA programs.
9.3. IN NO EVENT SHALL P1·QA LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE, DATA, OR BUSINESS OPPORTUNITY.
9.4. Our total aggregate liability under these Terms shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless P1·QA LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any rights of a third party, or (d) testing performed on applications you are not authorized to test.
11. Termination
11.1. By You. You may terminate your account at any time by canceling your subscription and contacting support. Your data will be retained for 30 days after termination, then permanently deleted.
11.2. By Us. We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees, or engage in activity that poses a risk to our infrastructure or other customers.
11.3. Upon termination, your right to access the Service ceases immediately. Sections 5, 6, 7, 9, 10, and 12 survive termination.
12. Governing Law & Disputes
12.1. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
12.2. Any dispute arising from these Terms shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
12.3. You agree to waive any right to participate in class action lawsuits or class-wide arbitration against P1·QA LLC.
13. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website at least 30 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
